Dacheng Advises Sinotrans & CSC Holdings Co., Ltd. on Holistic Listing
Recently, Sinotrans & CSC Holdings Co., Ltd. (“Sinotrans & CSC” ) and Sinotrans Ltd. completed integration of logistics resources and subsequently a holistic listing of Sinotrans & CSC.
In 2003 when Sinotrans & CSC underwent restructuring and listing, a framework plan on a holistic listing, which would be implemented in phases, was devised. In 2006, Sinotrans & CSC launched a logistics resources consolidation project covering over 300 wholly-owned subsidiaries, holding subsidiaries, professional subsidiaries, overseas companies and joint ventures engaged in logistics in 31 regions. The consolidation took the form of assets acquisition and trusteeship.
Dacheng senior partner Wang Yingbo acted as lead partner for the project, with associate Li Ping the main undertaker of the case. Equipped with previous experience in international transport, logistics and warehousing and a deep understanding of relevant laws and regulations, the attorneys provided efficient and expert legal counsel for the client, which won commendation from the client as well as state-owned assets administration authorities. The project also helped accumulate experience on the holistic listing of large SOEs for counterparts in Dacheng.
