Case Introduction:
Dacheng has been commissioned by Guangdong Guangken Sugar Industry Group Co., Ltd. to assist it and Guangdong Provincial Farming Corporation in taking over the overseas sugar projects of China National Complete Plant Import and Export Corporation through equity transfer without consideration. The project involves as many as seven countries and regions, and more than 20 target companies, presenting a complex transaction background with multiple languages, legal systems, and targets.
Since its inception in 2022, the project has spanned nearly three years and has been reviewed and approved by various ministries, including the Ministry of Finance, the Ministry of Agriculture and Rural Affairs, and the State-owned Assets Supervision and Administration Commission of the State Council. It is a comprehensive transaction that integrates equity transfer without consideration between central enterprises, domestic creditor's rights listing and trading, overseas physical asset acquisition, and Hong Kong share offer acquisition. Lawyer Shi Wanlin, as the overall person in charge of the case, coordinated the Dacheng legal team and the Dentons Hong Kong office legal team, as well as local lawyers from Madagascar, Benin, Togo, Sierra Leone, Jamaica, the Cayman Islands, and other project locations. A professional team was formed in the fields of corporate mergers and acquisitions, cross-border investment, capital markets, state-owned property rights trading, and state-owned enterprise compliance management. In this project, the team conducted comprehensive legal due diligence on China National Complete Plant Import and Export Corporation, Hualian International (Holdings) Limited (HK00969), and its subsidiaries, and provided special legal services for the subsequent transfer and acquisition.
