Ms. Cheng (Ina) is a Corporate and M&A partner based in Dacheng Shanghai Office. She has long been dedicated to offering legal services in general corporate, M&A and construction practice areas.

Since starting her practice of law in 2002, Ms. Cheng has offered legal services for a great number of clients in equity M&A/transfer, employment and labor, corporate compliance, and dispute resolution. She resolved major legal problems for her clients and provided legal support for their strategic decisions as well. With respect to the practices area of construction, Ms. Cheng provides legal services in EPC/ general contracting/subcontracting, joint construction/agent construction for many central state-owned enterprises, state-owned enterprises, and foreign enterprises. Her corporate clients include corporations in a wide range of industries including manufacturing, oil and energy, real estate and construction, technology, media and Telecommunications (TMT). Conducted due diligence and issued legal opinions on the acquisition by Shanghai Longli Energy Investment Co., Ltd. of a controlling stake in a petroleum company;

Acted for a cattle company in Heilongjiang on its acquisition of a 100% stake in a food company in Jiangxi;

Acted for Jilin Tuopai Agricultural Products Development Group and its affiliates on their asset restructuring;

Acted for Hong Kong-based Asialnfo on due diligence for its acquisition of part of the stake in an international freight forwarder in Jiangsu;

Provided full legal services to Hong Kong Avontine Group Limited for the acquisition of all equity in a printing and dyeing factory in Qingdao;

Represented PetroChina Sales Co., Ltd. in litigation concerning shareholder rights dispute with a listed company (litigation concerning company dissolution), and assisted it to successfully dissolve the company and recover its investment;

Represented PetroChina Company Limited Shanghai Sales Branch in disputes over the equity transfer contracts with a materials company and a trading company in Shanghai, and assisted it to fully receive the equity transfer price;

Represented Shanghai Belling CO., LTD. in a dispute with an U.S. company arising out of an infringement upon the layout designs of integrated circuit (China’s first case concerning a dispute arising out of an infringement upon layout designs of integrated circuit);

Represented Renergy Micro-Technologies (Shenzhen) CO., LTD. in a dispute with a company in Shanghai arising out of an infringement upon the layout designs of integrated circuit (Shanghai’s first case in which a judgement was issued to resolve a dispute arising out of an infringement upon layout designs of integrated circuit).

Represented Proxy Crocodile Apparel (Zhongshan) Co., Ltd. in a dispute with a company in Shanghai for the registered trademark infringement

Represented Shanghai Waigaoqiao Geological Engineering Co., Ltd. in arbitration concerning a dispute over the pile foundation construction contract with A Fortune Global 500 Company, and assisted it to successfully refute the counterparty’s counterclaim concerning quality-related objections and win support of the court to receive the full payment for the construction work;

Represented Shanghai Waigaoqiao Architecture Installing Co. in a case concerning a dispute over the construction contract for a building project with a famous developer in Wuxi; the client successfully received the compensation for the losses caused by an accident occurring in concrete pouring for the foundation slab construction for a large residential quarter and the losses caused by the extended construction period;

Represented Shanghai Baoye Metallurgical Engineering and Technology Co., Ltd. acting with a number of large iron and steel enterprises involving lime kiln, glass production line and other construction contract disputes, won the lawsuit and recovered the project money;

Represented Shanghai Baoye Group Corp., Ltd. in a case concerning a dispute over the construction contract for a building project with a listed company; the client fully received the payment for the construction work.

Acted as legal adviser to Sunway Group, a No. 1 real estate developer in Malaysia, and Tysan Group, a well-known real estate developer in Hong Kong, in respect of development qualifications, construction, and operation and management of real estate projects within PRC;

Served as the perennial legal counsel for various power engineering enterprises, including a subsidiary switchgear company of Shanghai Electric Power Transmission and Distribution Group and an engineering company under Shanghai Electric Industry Co., Ltd." Acts as special consultant or perennial legal adviser to PetroChina’s Provincial Sales Branch in East China, Shanghai Baoye , Shanghai Waigaoqiao Geological Engineering Co., Ltd., PetroChina SIPG Energy Co., Ltd. and other large- and medium-sized domestic enterprises.
