Mr. Jason Cheng is the co-head of the corporate practice group of Dentons China Region, he has provided legal services to numerous Fortune 500 companies. In the domain of M&A and investment, he represented the Bank of Communications in its overseas private placement with HSBC in the amount of USD 1.86 billion, which was awarded Annual Banking Deal of 2004 and Annual Deal of Innovation of SOE of 2004 by Asian Legal Business (ALB). He also represented Ningbo Tech-bank in its acquisition of Chinese business of AgFeed Industries Inc., an U.S. Nasdaq listed company and following private issuing projects, in the amount of RMB 0.33 billion in 2013, which was awarded Annual Agriculture Deal of 2013 in the U.S. He represented the Hong Kong Stock Exchange spin-off listing project of Fosun Pharmaceuticals' subsidiary, which won the 2017 IPO Project of the Year Award of China Business Law Journal. He has participated in various projects that have a significant impact in the legal profession, such as the acquisition of Shandong Airlines by Air China Group and its IPO, the control contest and tender offer case between Bohui Group Company and Indonesia's Sinar Mars Group, Alibaba's investment in the Digital Government Project, and the control contest case of Arm China.
Mr. Cheng has amassed diverse practical experience in the private equity investment area, representing financiers or investors. Up till now, he has accomplished more than 100 cases in the establishment of funds and investment projects.
He has completed many influential cases in recent years in the areas of acquisition and major restructuring of listed companies, overseas investment, and cross-border M&A, including several listed company acquisition and control contest projects, as well as organizing a team of domestic and foreign lawyers as the main coordinator to assist domestic enterprises in completing several typical overseas investments and M&A projects, and has also long assisted Chinese enterprises in improving their overseas compliance capabilities.
Based on his many years of industry experience and rich projects, he has accumulated rich experience in the manufacturing industry (including automobile vehicle and parts industry), pharmaceutical industry, education industry, foreign direct investment, multinational corporation restructuring, corporate mergers and acquisitions, foreign exchange control, and taxation.
represented Bank Communications of China in its private placement with HSBC in the amount of approx. RMB 14.6 billion (the transaction amount), accounting for 19.99% equities of Bank Communications of China, which was awarded Annual Banking Deal of 2004 and Annual Deal of SOE Innovation of 2004 by Asian Legal Business;
represented Ningbo Tech-bank in its acquisition of Agfeed Industries Inc, a U.S. Nasdaq listed company, and subsequent non-public offering in the amount of approx. RMB 330 million, which was awarded Annual Agriculture Deal in the U.S in 2014 by TMA;
represented Arm China in its joint venture control dispute among shareholders;
represented Bohui Group Company in its sales (tender offering) to Sinar Mas Group in the amount of approx. USD1 billion;
represented Shandong Hi-speed Group (SHSE: 600350) in its acquisition of some Polish listed company in the amount of approx. EUR 180 million;
represented DunAn Environment Co., Ltd (SZSE: 002011) in its acquisition of a multinational enterprise in the amount of approx. EUR 12 million;
represented Porton Pharma Solutions Ltd. (SZSE: 300363) in its acquisition of the US CRO enterprise J-star in the amount of approx. USD 24 million;
represented Suzhou International Development Venture Capital Holding Co., Ltd. (“SIDVC”) in its investment in Dio Catering Operation by share transfer from Carlyle Investment in the amount of approx. USD 30 million;
represented CDH (a leading PE firm in China) in its establishment of IDC industry fund in Renminbi and its investments;
represented Fosun Pharmaceuticals in the Hong Kong Stock Exchange spin-off listing project of Fosun Pharmaceuticals' Israeli subsidiary Sisram Medical Ltd. (1696.HK), which won the China Business Law Journal 2017 IPO Project of the Year Award;
represented Alibaba group in its serial joint venture with Chinse SOEs in the digital governmental administration platform project;
represented Hubei Qixing New Energy Development Co., Ltd. in its acquisition of some British-Iranian Photovoltaic company in the amount of approx. USD 10 million;
represented Jindi United Holding Group in its acquisition of some Indonesian oil and gas field interests in the amount of approx. USD 13 million;
represented LYZZ Capital in its investment in Shenzhen Chipscreen by share transfer from Lilly in the amount of approx. USD 25 million;
represented CCB Tenghui (Shanghai) environmental protection Equity Investment Management Co., Ltd. in its establishment and filing of the environment-protection private equity fund (raised 6 billion RMB, the fifth domestic industrial fund) and following PE investment projects.
