Introduction

Representative Projects/Matters

Provided comprehensive legal services to numerous state-owned enterprises and listed companies in matters such as real estate project investments and mergers and acquisitions, hotel acquisitions, asset transfers, and project financing, involving transaction amounts exceeding 100 billion yuan.

Represented Magic Cube China and its affiliated companies in a merger and acquisition equity dispute with E-House Apartments; the court fully adopted our arguments and dismissed all of the opposing party’s claims; This case was honored with the “Deals of the Year” award by *China Business Law Journal* in 2025.

Represented a listed company in a dispute over an equity transfer agreement; our arguments regarding the protection of shareholders’ pre-emptive rights in cases of indirect equity transfers were fully supported by the court.

Represented a large central state-owned enterprise in a series of disputes over control of a real estate joint development project, involving over 1 billion yuan, and helped the client regain control of the project.

Represented a major real estate developer in a series of construction contract disputes, successfully securing a complete reversal of the lower court’s decision on appeal before the High Court.

Represented a Singapore-listed company in a series of disputes regarding its exit from a domestic real estate project, ultimately safeguarding the client’s substantial investment profits and facilitating a smooth exit.

Represented a listed real estate company in high-stakes litigation involving equity disputes across multiple project companies, assisting the client in acquiring equity in the project companies and recovering outstanding payments from partners, thereby effectively protecting investment interests.

Provided specialized legal services for the issuance of Shanghai Real Estate Group’s Free Trade Zone RMB bonds, with a registered issuance amount of 10 billion yuan; this marked Shanghai’s first “Free Trade Zone RMB bond” issuance.

Represented multiple construction companies in resolving construction contract disputes covering issues such as construction quality, final settlement, and subcontracting, ultimately fully safeguarding clients’ interests in cases involving over 10 billion yuan.
