Introduction

Daniel Wei started his career as a lawyer in the legal department of a listed company in 1993 and later joined a law firm in 1995. He has over 30 years of experience in practicing law. He specializes in the practice areas of M&A, dispute resolution, real estate and construction, bankruptcy restructuring and liquidation with rich practical experience and deep legal expertise. Daniel served as the executive director of Dacheng Shanghai office, director of Dacheng China, global director of Dacheng.

Daniel specializes in corporate M&A transactions, especially those involving foreign capital and listed companies. He advised B&Q on its acquisition of OBI’s operations in China, Shenhua Holdings (SH600653) on assets stripping and restructuring pertaining to its BMW 4S shops, Boya Bio-pharmaceutical (SZ300294) on its acquisition of domestic bio-pharmaceutical corporations, Fosun Pharma (SH600196) on its overseas acquisition and spin-off, Zendai Group (HK0755) and Sunac China (HK1918) on their acquisition of a number of real estate projects.

In the real estate area, Daniel was one of the advisers to the administrative department for real estate in Shanghai in developing the standard contract for housing pre-sale and the measures for the administration of payments for pre-sale of residential houses. He is experienced in handling investment, construction, financing, M&A and other legal matters for various types of industrial, logistics and warehousing, commercial, and residential real estate projects. He has provided legal services for dozens of well-known residential and commercial real estate projects in Shanghai, including, among others, Chrysanthemum Park, Honwell Garden, Guilong Garden, Zendai Jiayuan, Shui Qing Mu Hua, Jinlin Tiandi, Mandarin Palace, Rancho Santa Fe, Thumb Plaza, JuneYao International Plaza, and the Bund Financial Center. He has also provided legal services for McDonald's, B&Q, Louis Vuitton and other global retail giants in respect of their real estate related matters. He also regularly advises commercial real estate developers on their hotel investment and management projects. In the construction area, he has provided PPP related legal services for the environmental construction project of Shanghai Municipal Investment (Group) Corporation and the APL project of the World Bank. Daniel has also provided legal services for the procurement tendering and bidding, construction and leasing of industrial plant projects for Tyco and Honeywell, both of which are the world's Fortune 500 companies.

In addition, Daniel has always been engaged in major commercial dispute resolution relating to investment and financing since 1995. He has defended the rights and interests of his clients in a number of complex and difficult cases, and helped them to achieve their desired goals successfully. Daniel represented ZhongChong Group and Shanghai Xiangfu Real Estate Co., Ltd in a series of litigation and arbitration concerning an equity cooperation dispute with Bin Jiang Real Estate Group (listed company: 002244), and the total amount of the target exceeds RMB 6 billion. Among the series of cases, the RMB 4.9 billion lending dispute between Xiangfu and one of its minority shareholders is the largest civil-commercial lawsuit that has been heard by the Shanghai Second Intermediate People’s Court till now. In the dispute between Fosun Group and Shagang Group over the equity acquisition of listed company Nanjing Iron & Steel Co., Ltd. (first instance by Jiangsu High People's Court, (2023) Su Min Chu No. 1), Daniel represented Fosun and assisted the parties in reaching a mediation. The subject amount involved in the case was RMB 13.58 billion.

Daniel is a preparatory member of the Shanghai Bankruptcy Administrators Association. With years of dedicated practice in bankruptcy law, he has served as the lead administrator or liquidation team leader in multiple bankruptcy or compulsory liquidation cases, including those involving assets and liabilities nearing ten billion yuan. Since 2020, Daniel's team has handled over thirty bankruptcy and liquidation cases, achieving commendable legal and social outcomes that have earned full recognition from people's courts, creditors, and debtors alike.

Daniel has provided legal services for quite a number of Fortune 500 companies and reputable domestic enterprises, including CapitaLand, JunYao Properties, Kerry Properties, Shang Shi Real Estate, Sunac China, Vanke Real Estate, Zendai Group and Zhongchong Group in the real estate sector; Shanghai Chengtou, CSCEC, Zhejiang Shunjie and German-based Züblin in the construction and infrastructure sector; BASF, Celanese, CNOOC, Huntsman and Rohmhaas in the energy and chemical sector; Delphi, Shenhua Holdings and Porsche in the automobile sector; B&Q, Hualian Supermarket, McDonald’s, Louis Vuitton and Mary Kay in the commercial retail sector; Novartis, Roche, Boya Bio-pharmaceutical, Fosun Pharma, MicroPort, Shanghai Pharma and Rich Healthcare Group in the pharmaceutical sector; Blum, Heidenhain, Hoppecke, Honeywell, Tyco, Ingersoll Rand, Valspar and Shanghai Electric Group in the equipment and precise manufacturing sector; Vopak and CHEP in the logistics sector; Cargill, Danone, Xueyrong and Guizhou Maotai in the agriculture and food sector; and Hynix-Numonyx Semiconductor in the semiconductor sector.
