Dacheng Attorneys Advise European Multinational on Cross-border International Commercial Laws

Recently, a project team led jointly by Shanghai-based senior partner Wu Ming and Australian of counsel Jun Wang advised a Holland-based multinational on PRC laws and international business laws for a global procurement project.
 
The client (name undisclosed for commercial confidentiality reasons) is one of Europe’s three most prominent manufacturers of heating facilities and hot-water systems. With average annual gross revenue of €2bn, it acquires a controlling stake in the HVAC markets of Britain, France, Germany, Spain, Holland and Italy.
 
The procurement involved multiple jurisdictions in Europe and Asia. From the attorneys’ part, the transaction that took place in China not only involved document review and handling of compliance and operability issues, but also required them to keep in line with Dutch laws and British laws that govern transactions in each of their jurisdictions. Despite differences in language, culture, time zone and jurisdiction, the Dacheng project team, while abiding by international business rules, managed to cooperate seamlessly with its client and the European counterparts and delivered practical, effective solutions for its Rotterdam-based client.
 
The team’s expertise and experience in handling PRC law and international business law-related affairs, as well as the constructive suggestions it put forward on improving the cross-jurisdiction deal structure, took the European client and attorneys who previously believed Chinese attorneys were capable only of handing PRC law-related affairs by surprise. After weeks of negotiation with teams in other jurisdictions, Rotterdam-based general counsel confirmed in written form his decision to adopt all Dacheng attorneys’ opinions as well as his intention to continue cooperation with the Dacheng team in future business expansion endeavors in China. The company is aimed at a full-fledged entry into Chinese market with a base in Tianjin.
