Practice Areas 
Mr. Zhou’s main areas of practice are banking, finance, fund, public-private partnership, foreign investment and international business.

Mr. Zhou has extensive experience in banking and financial services, and led his team in assisting financial institutes with the design and compliance work of numerous cross-border and offshore RMB products and other financial products. He has also been involved in commercial banks establishment, acquisition finance and project finance.

His work includes structuring projects, conducting due diligence investigations, participating in negotiations, drafting project documentation, providing legal opinions, and conducting relevant governmental procedures, etc.

Mr. Zhou has provided legal services to a significant number of overseas and domestic clients, including:
financial institutes:China Construction Bank (Asia), China Construction Bank Hong Kong Branch, China Construction Bank Singapore Branch, Bank of China (Hong Kong) Limited, Industrial and Commercial Bank of China (Asia) Limited, Industrial and Commercial Bank of China Limited, Deutsche Bank, Banco Santander Hong Kong Branch, JP Morgan, HSBC NF Fund, Guangfa Bank, Guangzhou Fund, etc;
listed companies:Genesis, Viasystem, Cardinal Health, Lucta, Colgate-Palmolive, Tesco, Mitsui & Co., Ritz-Carlton, CITIC Prudential Life Insurance Company, etc.

Mr. Zhou has also been involved in many significant transactions and projects, including:
•  providing legal services of design and compliance to China Construction Bank (Asia), Hong Kong branch of China Construction Bank and Industrial and Commercial Bank of China (Asia) Limited on more than 10 cross-border and offshore RMB products and other financial products which are innovative and of great significance in enriching and deepening the connotation of RMB internationalization. The aforementioned products includes RMB overseas loan under domestic guarantee, RMB overseas loan under domestic deposit, risk participation, authority to pay, paid for overseas, quasi-security loan arrangement, structural loan, prepaid card financing arrangement and extensibility service related to RMB, etc;
•  providing legal services of compliance to Bank of China (Hong Kong) Limited on financial products which are of great influence in diversifying financing approaches in cross-border trades and accelerating the RMB internationalization;
•  providing financing consultation to a large number of domestic and overseas enterprises on behalf of China Construction Bank (Asia), China Construction Bank Hong Kong Branch, China Construction Bank Singapore Branch, Industrial and Commercial Bank of China (Asia) Limited reviewing financing documents and issuing legal opinions. The aforementioned loans all refer to the structural financing arrangement of capital cross-border flowing in the RMB internationalization background. The amount of financing totals more than RMB 20 billion;
•  providing legal services on QDII investment with Hwabao Trust and China International Capital Corporation Limited on behalf of Guangzhou Fund, reviewing legal documents in both Chinese and English versions and issuing legal opinion on the validity of the investment; providing legal services for CITIC Trust on issuing trust plans of assembled funds of financing project of Jitai Group;
•  participating in the largest public infrastructure financing project in public-private partnership in eastern Guangdong on behalf of Guangdong Mingzhu Group Co., Ltd. (Chinese listed company) The amount of this project totals more than RMB 10 billion and Guangdong Mingzhu Group Co., Ltd., a private investor, cooperated with Xingning municipal government in land development (about 1.3 acres) and public infrastructure construction in Xingning. Leo Zhou took charge of all the negotiation, drafted and reviewed the transaction documents and set up the project company;
•  In charge of China-Germany Green Fuel Project with amount of RMB 1.3 billion. On behalf of Chinese company, Leo Zhou participated in all negotiation and assisting Chinese company in designing the structure of foreign investment and completing the registration of foreign investment. There were multiple parts in Green Fuel Project, such as setting up overseas company, acquiring business of German company, round-tripping investment. This is the only one Chinese-foreign co-investment project located in Guangdong among 10 agreements on economic cooperation between China and Germany, which were signed by Xi Jinping, President of the People's Republic of China and Merkel, Prime Minister of Germany;
•  advising Guangzhou, Huizhou, Jieyang, Jiexi, Jiedong, Huilai, Puning, Huidong, Boluo, Longmen, Foshan City Nanhai District, Dapu, Yangchun, Heshan, Kaiping District Rural Credit Unions in undergoing reformation to establish commercial banks. The amount of financing in these projects totals more than 30 billion;
•  acting for Industrial and Commercial Bank of China Limited in its acquisition of Macau Seng Heng Bank Limited;
•  acting for Guangfa Bank in respect of its share placement (including issuing shares to CITI Group) of RMB 15 billion;
•  providing legal services to Cardinal Health (NASDAQ listed company of medical industry) in the acquisition of Kangwei Pharmaceutical Chain Enterprise in China. The target amount is RMB 0.12 billion;
•  acting for JP Morgan in its China-related transactions;
•  acting for Guangdong Government in respect of the Hong Kong – Zhuhai – Macau Bridge Project;
•  acting for Mitsui & Co. in the sale and acquisition of equities in PRC;
•  acting for HSBC NF Fund in the acquisition of a group of PRC real property companies.
