Dentons advises China CITIC Bank on its first RMBS issuance

Recently, Dentons advised China CITIC Bank on successfully issuing its first RMBS product – Huiyi 2018 Series I Residential Mortgage-Backed Security (the "Product"). The legal service team was led by senior partner Guo Qing.

The total issue size of the product was RMB 7.197 billion. The senior A grade (including senior A1 and senior A2 tranches) bond accounted for RMB 6.3 billion and gained a credit rating of AAAsf. CITIC Trust acted as the issuer and trustee, China Securities served as the lead underwriter and book runner, and China Merchants Securities and Guosen Securities were the joint lead managers. 

The Dentons team mainly consisted of Guo Qing, Wang Yunsong, Liu Jia and Chen Bojian. They provided a full scope legal assistance on this deal, including designing and demonstrating deal structure, legal due diligence on credit assets, legal consultation, drafting and revising transaction documents, and issuing an attorney's opinion letter and a due diligence report.
